SIHK guideline: advisory boards in small to medium-sized companies

Following an invitation by the Südwestfälische Industrie- und Handelskammer zu Hagen (SIHK), companies attended a business club event at the Sparkasse Sprockhövel. Dr. Habing reported on the benefits of an advisory board precisely in small to medium-sized companies. "It is still common to do without an advisory board due to a lack of clarity on the choice of members, the framework conditions and the scope of duties. The risk of a clash of interests is also one of the main hurdles," explains Dr. Habig. The SIHK guideline should therefore provide initial support by clarifying how an advisory committee, with its expert knowledge, can help companies to identify future perspectives, to analyse ideas, arguments and decisions, and to cope with new challenges.

The importance of an advisory committee from a business point of view was presented by Axel Vormann, Managing Director of Otto Vollmann GmbH & Co. KG in Gevelsberg. "There must be a subordination of specific interests in family companies, this differentiates them from companies with a shareholder value approach. However, in order to avoid decisions being made purely on a family-oriented basis, an advisory committee made up of members from outside the family, can provide important assistance," he explains.

According to a study from MittelStandPlus, only 40% of all small to medium-sized compannies have an advisory board - but those who have are generally very satisfied with its work and, according to Sparkasse Director Wolfgang Steudtner, these are regarded as the successful companies. Not everyone is suitable to be an advisory board member and an appointment should always be based on objective and not personal grounds.

"The original tasks: consulting, monitoring, mediation and arbitration, along with other support, can be considerably extended in accordance with the company constitution, charter or the company organisation," points out Kurt Buchwald, co-author of the guideline and Deputy Managing Director of the SIHK Hagen.

The new guidline of the SIHK sharpens awareness of the "advisory board" theme. The entrepreneurs received details on the tasks, composition, remuneration, legal framework conditions, as well as a sample charter. ...
